Item 8.01.     Results of Operations and Financial Condition

On April 18, 2012, the Kansas Corporation Commission issued an order in our Kansas retail rate case. The order approved the Stipulation and Agreement that we entered on February 6, 2012, which was agreed to or not opposed by all parties to the rate case, with the exception of the Citizens’ Utility Ratepayer Board. The order provides for a $50.0 million, or approximately 3.2 percent, annual increase in rates. The new rates will become effective within 30 days of the date of the order, pending the filing and approval of new tariffs reflecting the new rate schedules.
