This Statement on Schedule 13G (the “Statement”) is filed by Westar Energy, Inc., a Kansas corporation (“Westar”) and relates to the Issuer’s Common Stock, par value $0.01 (the “Common Stock”). Westar originally filed a statement relating to the Common Stock on Schedule 13D on December 5, 1997 It amended such statement from time to time (most recently on February 6, 2003) on behalf of itself and its wholly-owned subsidiary, Westar Industries, Inc., which formerly held the Common Stock directly. Immediately after it sale of approximately 12.1 million shares of the Common Stock on August 11, 2003, Westar Industries, Inc. transferred its remaining holdings of the Issuer’s securities to Westar, pursuant to an agreement reached by Westar with the Kansas Corporation Commission.

Does not include 1,230,263 shares of $0.925 Series D Non-Cumulative Convertible Preferred Stock (the “Series D Preferred”) that may be converted into an equal number of shares of Common Stock on or prior to September 4, 2003 for sale to J.P. Morgan Securities, Inc. (“JPM”) pursuant to an over-allotment option granted to JPM under an underwriting Agreement dated August 5, 2003 among JPM, Westar, Westar Industries, Inc. and the Issuer. As permitted by Rule 13d-4, this Statement shall not be construed as an admission by Westar that it is the beneficial owner of the shares of Common Stock underlying the shares of Series D Preferred.

 

Does not include an additional 12,691,436 shares of Common Stock issuable in the event of the conversion of 12,691,436 shares of Series D Preferred. Such shares of Series D Preferred may be converted into Common Stock by Westar only (i) in the event that a dividend threshold, which has not been met, and is not expected to be met within the next 60 days, with respect to the underlying Common Stock or (ii) in connection with a transfer to a third party. Pursuant to agreements with JPM and the Issuer, Westar may not transfer such shares for ninety days from August 6, 2003. As permitted by Rule 13d-4, this Statement shall not be construed as an admission by Westar that it is the beneficial owner of the shares of Common Stock underlying the shares of Series D Preferred.
