Subject: Follow-up to Sunday’s Call

Chairman Hall and Commissioners,

Thank you for taking the telephone call from Mark Ruelle and me yesterday evening. As we discussed, today we announced a merger agreement by and between Great Plains Energy and Westar Energy. The press release crossed the business wire early this morning and is attached.

It was important to us that you and your colleagues hear about this first from Great Plains Energy because our companies operate under your regulatory authority in Missouri. Although we would have preferred to discuss this personally, time constraints and logistics made a face-to-face meeting impossible.

The purpose of this e-mail is to confirm our telephone conversation as follows:

 

    The revised agreement is designed to address regulatory concerns of the KCC regarding the original transaction.

 

    It involves no transaction debt, no exchange of cash and is a stock for stock merger of equals with the agreed-upon ownership split between the two companies, negotiated with the intent that no premium will be paid or received with respect to either company.

 

    With no transaction debt, the companies expect that the combined company will have a strong balance sheet and long-term credit metrics that support an improving investment grade rating of high BBB/Baa to A post-closing.

 

    Great Plains Energy and Westar Energy will merge into a new holding company with corporate headquarters in Kansas City and operating headquarters in both Kansas City and Topeka.

 

    The combined company has committed that there will be no layoffs as a result of the transaction. Any employee reductions will be accomplished through attrition, voluntary severance and normal retirements from both Great Plains Energy and Westar Energy.

 

    Westar Energy’s customer contact center in Wichita will be maintained and new walk-in customer service centers in Wichita and Topeka will be established.

 

    The combined company will maintain at least 500 employees in the downtown Topeka headquarters for at least five years after the merger.

 

    The combined company will provide a minimum of $50 million in total rate credits for all of our retail customers upon closing of the transaction as a one-time reduction on the customer’s monthly bill.


    This immediate customer benefit exceeds the expected net merger savings in 2018 and reflects confidence in future cost savings the company expects to achieve by combining operations.

 

    More than a year of integration planning has identified significant operating efficiencies and cost savings as a result of the combination, complementary and contiguous service territory, shared generation assets and expanded footprint. Net savings of approximately $35 to $45 million are expected in 2018, growing to approximately $140 to $170 million by 2021 and beyond.

 

    The transaction will require the approval of the Kansas and Missouri commissions, FERC, NRC and Hart-Scott-Rodino approval. It will also require approval by Great Plains Energy’s shareholders and Westar Energy’s shareholders.

 

    We expect to file applications in Missouri and Kansas in the next six weeks or so. The existing docket in Missouri will be dismissed.
