     This certificate is notice that the above named company
has issued, renewed or guaranteed the security or securities
described herein which issue, renewal or guaranty was
exempted from the provisions of Section 6(a) of the Act and
was neither the subject of a declaration or application on
Form U-1 nor included within the exemption provided by Rule
U-48 [Reg. Section 250.48, P. 36,621].

     Senior Unsecured Notes to ABN AMRO Incorporated, Bank
     of New York Capital Markets, Incorporated and U.S.
     Bancorp Piper Jaffray as the Underwriters, pursuant to
     an Underwriting Agreement dated November 15, 2001.

     $148,801,500.00 in cash (99.201% of the principal amount)

     To be used for financing the existing business of
     Kansas City Power & Light Company, including the
     repayment of a portion of the company's outstanding
     commercial paper.
